SOFTWARE END USER LICENCE AGREEMENT
 

This Software End User Licence Agreement (“Agreement”) is entered into between:

  1. the individual installing, accessing or using the Program and, where that individual acts on behalf of a legal entity, that single legal entity (“You” or “Your”); and

  2. EVENT IMAGINEERING GROUP EMEA, having its address at Dalkruidbaan 161, 2908 KC Capelle aan den IJssel, the Netherlands (“EIG EMEA”).

The Program is copyrighted by EIG EMEA.

TC Supply LLC, having its address at 6747 Segura Drive, Las Vegas, Nevada 89103, United States of America (“TC Supply”), is a licensee of the Program and the owner or authorised holder of certain trademarks, patents and other intellectual-property rights associated with the Program.

EIG EMEA and TC Supply are referred to collectively in this Agreement, where applicable, as the “Rights Holders.”

BY CLICKING “ACCEPT,” INSTALLING, ACCESSING OR USING THE PROGRAM, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD AND AGREED TO BE BOUND BY THIS AGREEMENT.

IF YOU ACCEPT THIS AGREEMENT ON BEHALF OF A LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THIS AGREEMENT.

IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS AGREEMENT, YOU MUST NOT INSTALL, ACCESS OR USE THE PROGRAM AND MUST IMMEDIATELY DISCONTINUE THE INSTALLATION AND DELETE OR UNINSTALL THE PROGRAM, AS APPLICABLE.
 

1. DEFINITIONS

1.1 “Anonymous Usage Data” means technical, operational and statistical information that has been processed so that it does not identify and cannot reasonably be used by EIG EMEA, TC Supply or another person to identify or single out You, an individual user, an account or a particular device.

1.2 “Documentation” means the written documentation, technical specifications, instructions and help content made generally available by EIG EMEA or TC Supply relating to the installation or use of the Program.

1.3 “Program” means all or any part of the software provided or licensed to You under this Agreement, including any updates, upgrades, modifications or replacement versions supplied to You, unless separate terms apply to them.

1.4 “Authorised Use” means use of the Program in accordance with the applicable licence type, this Agreement and the Documentation.
 

2. PROGRAM LICENCE

2.1 Limited Licence

Subject to Your compliance with this Agreement and payment of any applicable fees, EIG EMEA grants You a limited, non-exclusive, non-transferable and non-sublicensable licence:

(a) to install and use one copy of the Program on one authorised computer or mobile device for Your own internal personal or business purposes, in accordance with the applicable licence type, this Agreement and the Documentation;

(b) to use the Documentation solely in support of Your Authorised Use; and

(c) to make one copy of the Program solely for backup or archival purposes, provided that all copyright, trademark, proprietary-rights and other notices appearing in the original Program are reproduced on the copy.

No rights are granted except as expressly stated in this Agreement.
 

2.2 Restrictions

Except as expressly permitted by this Agreement or by applicable law, You shall not, directly or indirectly:

(a) copy, reproduce, distribute, publish or otherwise use the Program or Documentation;

(b) sell, assign, transfer, sublicense, rent, lease, lend or otherwise make the Program or Documentation available to any third party;

(c) permit any third party to access or use the Program using Your licence, activation credentials or account;

(d) use the Program for commercial time-sharing, outsourcing, hosting, managed-service or service-bureau purposes;

(e) remove, obscure or alter any copyright, trademark, proprietary-rights or other notices contained in the Program or Documentation;

(f) modify, translate, adapt, create derivative works from, reverse engineer, disassemble or decompile the Program; or

(g) circumvent, disable, interfere with or attempt to defeat any licence-management, activation, security, copy-protection or technical restriction included in the Program.

The restrictions in this Section do not apply to the limited extent that an activity is expressly permitted by mandatory applicable law notwithstanding the restriction. Any information obtained through legally permitted decompilation may be used only for the purpose authorised by applicable law and may not be used to create, develop or market software substantially similar to the Program.
 

2.3 Ownership

The Program and Documentation are licensed, not sold.

EIG EMEA retains all copyright and other rights it owns in the Program and Documentation.

TC Supply retains all right, title and interest in and to the trademarks, patents and other intellectual-property rights it owns or holds in connection with the Program.

EIG EMEA, TC Supply and their respective licensors retain all other right, title and interest in and to the Program and Documentation, including all applicable patent, copyright, trademark, trade-secret and other intellectual-property rights and any derivative works.

You acquire no ownership interest or other rights in the Program or Documentation except for the limited licence expressly granted under this Agreement.
 

2.4 Support and Updates

Unless expressly stated in a separate written agreement or applicable licence plan, neither EIG EMEA nor TC Supply has an obligation to provide support, maintenance, updates, upgrades, modifications or new releases of the Program or Documentation.

Any update, upgrade, modification or replacement version supplied to You shall form part of the Program and be governed by this Agreement unless separate terms are provided with that version.
 

3. ANONYMOUS USAGE DATA AND PRIVACY

3.1 Collection of Anonymous Usage Data

Subject to applicable law and Your applicable privacy or telemetry settings, the Program may collect and transmit Anonymous Usage Data to EIG EMEA, TC Supply or service providers acting on their behalf.

Anonymous Usage Data may include:

(a) the version, edition and configuration of the Program;

(b) operating-system type and version;

(c) general hardware characteristics and performance information;

(d) enabled or used Program features;

(e) general usage frequency, session duration and interaction statistics;

(f) error codes, crash information, diagnostic information and performance measurements; and

(g) aggregated information concerning connected device types, protocols, workflows and Program functionality.

Anonymous Usage Data shall not intentionally include Your name, email address, postal address, payment information, licence key, account credentials, file contents, project contents, media contents, track titles, artist names, personal communications or other information intended to identify You.
 

3.2 Purposes

EIG EMEA and TC Supply may use Anonymous Usage Data to:

(a) operate, maintain, secure, test and improve the Program;

(b) identify and correct errors, crashes, compatibility problems and performance issues;

(c) understand how Program features are used;

(d) develop new functionality, products and services;

(e) measure installation and usage trends;

(f) prevent abuse, fraud, security threats and unauthorised use; and

(g) produce internal or external statistical reports that do not identify individual users, accounts or devices.
 

3.3 Anonymisation and Aggregation

EIG EMEA and TC Supply shall take reasonable technical and organisational measures designed to prevent Anonymous Usage Data from being used to identify or single out You, an individual user, an account or a particular device.

Where reasonably practicable, data shall be aggregated, truncated, generalised or otherwise anonymised before it is retained or used for analytics.

EIG EMEA and TC Supply shall not attempt to re-identify Anonymous Usage Data, except where necessary to test or verify the effectiveness of the anonymisation process or where required by applicable law.

Anonymous Usage Data may be retained and used for as long as it remains anonymous and is reasonably required for the purposes described in this Section.
 

3.4 Personal Data and Device Identifiers

Information is not considered Anonymous Usage Data where it identifies or can reasonably be linked to an individual, account, licence or particular device.

If the Program collects or processes personal data, an Internet Protocol address, a licence identifier, an account identifier, a persistent device identifier or other identifiable or pseudonymous information, that processing shall be described in the applicable privacy notice and handled in accordance with applicable data-protection law.

Nothing in this Agreement limits any privacy rights available to You under applicable law.
 

3.5 User Choice

Where required by applicable law, non-essential usage analytics or telemetry shall be collected only after You have been provided with the required information and have given valid consent.

Where the Program provides a telemetry or analytics control, You may disable future non-essential collection through the Program’s privacy or settings controls. Withdrawing consent or disabling non-essential telemetry shall be as easy as enabling it and shall not prevent ordinary use of the Program, except where particular information is strictly necessary to provide, secure or license the Program.

Disabling future collection does not require EIG EMEA or TC Supply to delete information that was already irreversibly anonymised before the setting was changed.
 

3.6 Service Providers and Transfers

EIG EMEA and TC Supply may use hosting, analytics, crash-reporting, security and other technical service providers to process information on their behalf.

Any processing of personal data by such providers shall be subject to appropriate contractual, security and international-transfer safeguards where required by applicable law.

Further information about identifiable or pseudonymous data processing, recipients, retention periods, international transfers and Your privacy rights shall be provided in the applicable privacy notice.
 

4. WARRANTY DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROGRAM AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND.

YOU USE THE PROGRAM AND DOCUMENTATION AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EIG EMEA AND TC SUPPLY EXPRESSLY DISCLAIM ALL EXPRESS, IMPLIED AND STATUTORY WARRANTIES, AND ALL WARRANTIES ARISING FROM A COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AVAILABILITY, TITLE, QUIET ENJOYMENT AND NON-INFRINGEMENT.

EIG EMEA AND TC SUPPLY DO NOT WARRANT THAT THE PROGRAM WILL OPERATE WITHOUT INTERRUPTION OR ERROR, THAT ALL DEFECTS WILL BE CORRECTED, THAT THE PROGRAM WILL BE COMPATIBLE WITH ALL EQUIPMENT OR THIRD-PARTY SOFTWARE, OR THAT THE PROGRAM WILL MEET YOUR PARTICULAR REQUIREMENTS.

NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
 

5. EXPORT CONTROL AND COMPLIANCE WITH LAWS

You shall comply with all export-control, import, trade-sanctions and other applicable laws and regulations, including, where applicable, those of the United States, the European Union, the United Kingdom, the United Nations and the jurisdiction in which You obtain, access or use the Program.

You shall not export, re-export, transfer, release or otherwise make the Program available:

(a) to any country, territory, entity or person where doing so is prohibited or restricted by applicable law;

(b) to any person or entity appearing on an applicable governmental sanctions or restricted-parties list; or

(c) for any prohibited end use, including the development, design, manufacture or production of nuclear, missile, chemical or biological weapons.

By installing, accessing or using the Program, You represent and warrant that You are not located in, ordinarily resident in, organised under the laws of, or controlled by a prohibited jurisdiction or restricted party, except where Your access or use is authorised by applicable law.

You shall not use the Program for any unlawful purpose or in violation of any applicable law or regulation.
 

6. U.S. GOVERNMENT END USERS

The Program and Documentation are “commercial computer software” and “commercial computer software documentation,” as those terms are used in applicable United States federal procurement regulations.

The Program and Documentation are licensed to United States Government end users only as commercial products and with only those rights granted to other end users under this Agreement, except to the extent that different rights are expressly required by applicable federal law or expressly agreed to in writing by the applicable Rights Holder.

Acquisition and use by United States civilian agencies shall be governed, as applicable, by Federal Acquisition Regulation (“FAR”) 12.212.

Acquisition and use by the United States Department of Defense shall be governed, as applicable, by Defense Federal Acquisition Regulation Supplement (“DFARS”) 227.7202, including DFARS 227.7202-3.

Any use, reproduction, modification, release, performance, display, disclosure or distribution of the Program or Documentation by or on behalf of the United States Government shall be subject to the rights and restrictions set forth in this Agreement, except to the extent that this Agreement is inconsistent with applicable federal law or the express terms of an applicable government contract.

7. REMEDIES FOR BREACH

You acknowledge that an actual or threatened breach of the licence restrictions or intellectual-property provisions of this Agreement may cause one or both Rights Holders irreparable harm for which monetary damages alone may not provide an adequate remedy.

Subject to applicable law, each Rights Holder may seek injunctive or other equitable relief to prevent or restrain any actual, threatened or continuing breach affecting its respective rights, in addition to any other rights or remedies available to it.

Nothing in this Section limits any defence or procedural right available to You under applicable law.
 

8. TERM AND TERMINATION

8.1 Term

This Agreement begins when You first accept this Agreement or install, access or use the Program, whichever occurs first, and continues until it expires or is terminated.

If the Program is licensed for a specified subscription or licence period, Your right to use the Program expires at the end of that period unless the licence is renewed.
 

8.2 Termination for Breach

EIG EMEA may terminate this Agreement if You materially breach any provision of it and, where the breach is capable of remedy, You fail to remedy the breach within fourteen days after receiving written notice.

EIG EMEA may terminate this Agreement immediately if You:

(a) infringe or misappropriate the intellectual-property rights of EIG EMEA, TC Supply or their licensors;

(b) unlawfully copy, distribute, transfer, reverse engineer or circumvent the licensing or security mechanisms of the Program;

(c) use the Program for an unlawful or prohibited purpose; or

(d) commit a breach that cannot reasonably be remedied.
 

8.3 Consequences of Termination

Upon expiration or termination of this Agreement, You must immediately:

(a) stop accessing and using the Program;

(b) uninstall and permanently delete the Program from all computers, mobile devices and storage media under Your possession or control; and

(c) destroy all copies of the Program and Documentation in Your possession or control.

Upon reasonable written request, You shall confirm in writing that You have complied with these requirements.

Expiration or termination does not entitle You to a refund except where a refund is required by applicable law or expressly provided under the applicable purchase terms.
 

8.4 Survival

Sections 2.2, 2.3, 3.3, 3.4, 3.6, 4, 5, 6, 7, 8.3, 8.4 and 9, together with any other provisions that by their nature are intended to survive, shall continue in effect after expiration or termination of this Agreement.
 

9. GENERAL TERMS

9.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EIG EMEA, TC SUPPLY AND THEIR RESPECTIVE AFFILIATES, LICENSORS, OFFICERS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM FOR:

(a) ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES; OR

(b) ANY LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, ANTICIPATED SAVINGS, GOODWILL, DATA OR USE, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE PRODUCTS OR SERVICES,

WHETHER ARISING IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF THE RELEVANT PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE OR SUCH LOSS OR DAMAGE WAS REASONABLY FORESEEABLE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF EIG EMEA AND TC SUPPLY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PROGRAM OR THE DOCUMENTATION SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR THE AFFECTED PROGRAM DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in this Agreement excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence where applicable law prohibits such exclusion or limitation.

The limitations and exclusions in this Section apply only to the maximum extent permitted by applicable law.
 

9.2 Consumer Rights

Nothing in this Agreement affects any statutory rights or remedies available to You as a consumer that cannot lawfully be excluded, restricted or modified.

Any disclaimer, limitation or exclusion in this Agreement applies only to the extent permitted by the laws applicable to You.
 

9.3 Severability

If any provision of this Agreement is found to be unlawful, invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law.

If the provision cannot be validly enforced, it shall be deemed modified or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
 

9.4 Waiver

A failure or delay by either party to exercise any right or remedy shall not constitute a waiver of that or any other right or remedy.

A waiver is effective only if it is made in writing and applies only to the specific circumstances for which it is given.
 

9.5 Assignment

You may not assign, sell, transfer, delegate or otherwise dispose of this Agreement or any rights or obligations under it, whether voluntarily, involuntarily, by operation of law or otherwise, without EIG EMEA’s prior written consent.

Any attempted assignment, transfer or delegation in violation of this Section shall be void to the extent permitted by applicable law.

EIG EMEA may assign or transfer this Agreement, in whole or in part, in connection with a merger, reorganisation, sale of assets, transfer of the Program or transfer to an affiliate, subject to applicable law.

This Agreement is binding upon and benefits the parties and their permitted successors and assigns.
 

9.6 Entire Agreement

This Agreement, together with any applicable order, licence plan, privacy notice or additional terms expressly incorporated into it, constitutes the entire agreement between the parties concerning the Program and supersedes all prior or contemporaneous agreements, communications, representations and understandings concerning its subject matter.

No amendment or modification of this Agreement shall be binding unless made in writing by EIG EMEA or agreed to in another legally valid manner.
 

9.7 Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict-of-law rules.

Subject to any mandatory rights available under applicable law, the courts of Rotterdam, the Netherlands, shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement.

If You are a consumer, nothing in this Section deprives You of any mandatory protection available under the laws of the country in which You habitually reside or of any right under applicable law to bring or defend proceedings before another competent court.
 

9.8 Rights of TC Supply

TC Supply is an intended third-party beneficiary of Sections 2.2, 2.3, 3, 4, 6, 7, 8 and 9.1 of this Agreement and may enforce those Sections to the extent necessary to protect or enforce its trademarks, patents, licence rights and other intellectual-property interests.

Except as expressly provided in this Section, this Agreement does not create any rights or remedies enforceable by a person or entity other than You and EIG EMEA.
 

9.9 Headings

Section headings are included for convenience only and do not affect the interpretation of this Agreement.
 

9.10 Language

If this Agreement is translated into another language, the English-language version shall prevail to the extent permitted by applicable law in the event of any inconsistency.
